Aidocall Customer Terms
Welcome to Aidocall. These Legal Terms and Privacy Notice (the "Terms") govern access to and use of the Aidocall website, applications, dashboards, portals, communications, products, software, artificial-intelligence features, alarm processing tools, monitoring services, dispatch-related services, automation features, and related services (collectively, the "Services") provided by Aidocall Inc. ("Aidocall," "we," "us," or "our").
By accessing, browsing, registering for, purchasing, activating, or using any part of the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms are intended for use on Aidocall's legal page and are written to apply broadly to website visitors, account holders, monitoring customers, dealer customers, end users, and authorized representatives.
1. Eligibility and Authority
You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of a company, partnership, organization, dealer, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
You are responsible for all use of the Services by anyone accessing them through your account, premises, credentials, devices, or authority.
2. Scope of Services
Aidocall provides technology-enabled alarm, signal handling, notification, workflow, and related services, which may include one or more of the following:
- alarm signal receipt and processing;
- automated notifications by phone, SMS, push notification, email, or other channels;
- software portals and dashboards;
- artificial-intelligence-assisted monitoring, triage, analysis, prioritization, and workflow automation;
- account management tools;
- dispatch coordination or dispatch-related support;
- integrations with third-party hardware, software, telecom, cloud, and monitoring infrastructure;
- storage, review, or presentation of event, user, sensor, and communication data.
Not all Services are available in all locations or to all customers. Certain features may be offered only under separate agreements, order forms, pricing schedules, or service plans.
3. AI-Assisted and Automated Monitoring Disclaimer
Aidocall may use automated systems, machine-learning tools, large language models, rules engines, confidence scoring, predictive systems, and other artificial-intelligence or algorithmic technologies in connection with the Services.
You acknowledge and agree that:
- AI-assisted or automated systems may not perform identically to human operators.
- Such systems may generate errors, omissions, delays, false positives, false negatives, incorrect classifications, inaccurate summaries, incomplete recommendations, or incorrect prioritization.
- AI-generated outputs are tools to support operational workflows and are not guarantees of correctness, completeness, dispatch outcome, emergency response, legal compliance, or safety.
- Aidocall does not warrant that any AI, automated, or software-driven function will identify every event, escalate every event properly, contact every listed party, or prevent loss, injury, theft, fire, damage, or interruption.
- Customer remains responsible for evaluating whether the Services, including AI-enabled features, are suitable for Customer's intended use.
- The Services may involve partial or full automation of certain monitoring, verification, communication, summarization, and decision-support workflows. By using the Services, you expressly consent to such automation.
4. No Guarantee of Dispatch, Contact, Transmission, or Response
Aidocall does not guarantee:
- that every alarm, signal, event, or notification will be received, transmitted, processed, displayed, or acted upon;
- that emergency responders, guards, dealers, contacts, or designated recipients will be available, reachable, willing, or able to respond;
- that any police, fire, ambulance, guard, or other authority will be dispatched;
- that any dispatch request will be accepted;
- that any contact list will be current or accurate;
- that any response will occur within any specific time;
- that any notification channel will function without interruption or delay.
Emergency agencies, municipalities, telecom carriers, internet providers, cellular carriers, guard companies, public authorities, answering points, and third-party service providers are independent parties not controlled by Aidocall. Their actions, inaction, delays, refusals, limitations, outages, routing decisions, and policies are beyond Aidocall's control.
5. Monitoring and Notification Limitations
The Services are intended to reduce certain risks, not eliminate them. Aidocall is not an insurer. Payment for the Services is based on the value of the Services provided and not on the value of your property, data, premises, business, operations, occupants, or potential loss.
Aidocall does not represent or warrant that the Services will prevent or eliminate occurrences such as burglary, intrusion, robbery, hold-up, fire, carbon monoxide events, environmental loss, medical emergencies, cyber incidents, vandalism, property damage, injury, death, or any other event.
Some service plans may provide notification-only workflows. Aidocall may, in its sole discretion and where permitted by law and contract, restrict or modify workflows, including limiting service to notification-only, where account misuse, excessive false alarms, chronic non-responsiveness, unsafe instructions, non-payment, abuse, legal restrictions, technical limitations, or other operational concerns arise.
6. Customer Responsibilities
You agree that you are solely responsible for:
- providing accurate, complete, and current contact, account, location, permit, and response information;
- promptly updating all emergency contacts, responsible parties, phone numbers, email addresses, users, site details, and zone descriptions;
- testing your system, devices, communications paths, and user workflows regularly;
- maintaining reliable power, batteries, charging, internet service, Wi-Fi, cellular service, device connectivity, and any required network settings;
- obtaining and maintaining all permits, licenses, and registrations required by applicable law or local authority;
- ensuring all users understand how to operate the system and Services;
- complying with all laws applicable to recording, monitoring, surveillance, audio capture, biometrics, workplace monitoring, tenant notice, and privacy;
- ensuring that your use of the Services is lawful in every jurisdiction where devices or Services are used;
- verifying that equipment and Services are appropriate for your premises and risk profile;
- keeping credentials confidential and using secure passwords and authentication methods;
- maintaining independent insurance coverage sufficient for your risks.
If you fail to maintain accurate or current information, Aidocall is not liable for any resulting missed communications, delays, errors, or losses.
7. Communication Path, Network, and Power Limitations
The Services depend on third-party communications infrastructure and local conditions. Signal transmission, alerts, dashboards, camera feeds, automation, remote access, and event handling may fail, degrade, or be delayed due to:
- electrical outages;
- depleted batteries;
- network congestion;
- internet outages;
- cellular signal weakness or carrier failure;
- telecom routing issues;
- ISP issues;
- cloud service outages;
- DNS failure;
- hardware malfunction;
- software bugs;
- maintenance;
- cyberattacks;
- jamming, spoofing, tampering, sabotage, or environmental interference;
- building construction, terrain, weather, or signal obstruction.
Aidocall is not liable for any event, loss, delay, or failure caused in whole or in part by such conditions.
8. Third-Party Products, Services, and Integrations
The Services may interoperate with, depend upon, or display information from third-party devices, platforms, APIs, apps, cloud services, telecom providers, dispatch providers, payment processors, hardware manufacturers, and software vendors.
Aidocall does not control and is not responsible for third-party products or services, including their:
- availability;
- security;
- functionality;
- compatibility;
- uptime;
- storage practices;
- pricing;
- data handling;
- legal compliance;
- updates;
- discontinuation.
Your use of third-party products or services may be subject to separate agreements, licenses, warranties, and privacy policies. Aidocall disclaims responsibility for failures, breaches, outages, errors, interruptions, or changes caused by third parties.
8.1 Aido24 Guard Dispatch Services Disclaimer
Aidocall may facilitate or coordinate requests for on-site guard response services ("Aido24 Dispatch"). Customer acknowledges and agrees that Aidocall does not provide physical security personnel and does not employ, supervise, train, or control any guards or guard service providers. All guard services are provided by independent third-party contractors or companies.
Customer understands that responding to alarm events may involve potentially dangerous situations, including but not limited to criminal activity, violence, environmental hazards, or unknown threats.
Aidocall makes no representations or warranties regarding the actions, conduct, training, qualifications, response time, decisions, or outcomes of any guard or guard service provider. Aidocall does not guarantee that any guard will be dispatched, will arrive within any specific time, or will resolve any situation.
Customer acknowledges that any decision to request, authorize, or permit dispatch of a guard is made at Customer's own discretion and risk.
To the maximum extent permitted by law, Aidocall shall not be liable for any injury, death, property damage, loss, or other harm suffered by any person, including guards, customers, occupants, or third parties, arising out of or relating to any guard dispatch, attempted dispatch, failure to dispatch, delay in dispatch, or actions or omissions of any guard or guard service provider.
Customer agrees to defend, indemnify, and hold harmless Aidocall from and against any and all claims, demands, damages, liabilities, costs, and expenses (including legal fees) arising from or related to guard dispatch services, including claims brought by guards, guard companies, occupants, or third parties.
9. Acceptable Use
You agree not to use the Services:
- for any unlawful, harmful, fraudulent, deceptive, infringing, abusive, or unauthorized purpose;
- in violation of surveillance, recording, privacy, employment, tenancy, biometric, telecommunications, or consumer-protection laws;
- to stalk, harass, intimidate, threaten, discriminate against, or unlawfully monitor any person;
- to upload, transmit, or store malicious code, ransomware, spyware, or harmful content;
- to probe, scan, reverse engineer, interfere with, or bypass security or access controls;
- to overload, impair, or disrupt the Services or related systems;
- to resell, sublicense, or provide unauthorized access to the Services except as expressly authorized in writing;
- to use the Services in connection with illegal products, unlawful surveillance, or unlawful interception of communications.
Aidocall may suspend, restrict, investigate, or terminate access to the Services for any misuse, suspected misuse, legal risk, security risk, or violation of these Terms.
10. Account Credentials and Authorized Users
You are responsible for safeguarding login credentials, passwords, authentication devices, verification codes, and access methods. You must notify Aidocall promptly of any suspected unauthorized access, credential compromise, or misuse.
Aidocall may rely on instructions, requests, changes, approvals, and permissions received from any person using valid credentials or reasonably appearing to be an authorized user, dealer representative, administrator, or account contact. Aidocall is not liable for actions taken in reliance on such instructions.
11. Alerts, Calls, SMS, Email, and Electronic Communications
By using the Services, you consent to receive communications from Aidocall and its service providers, including by telephone, text message, push notification, email, prerecorded voice, autodialed call where permitted by law, and in-app messaging, for operational, security, billing, support, verification, and service-related purposes.
Message and data rates may apply. Delivery may be delayed or unsuccessful. Aidocall does not guarantee receipt of any SMS, call, push notification, or email.
Operational alerts may contain sensitive account or event information. You are responsible for selecting appropriate recipients and securing access to the devices and inboxes used to receive alerts.
You may be able to opt out of certain non-essential communications, but you may not opt out of communications necessary to administer accounts, fulfill contracts, provide security notices, or deliver operational service messages.
12. Recording and Monitoring Consent
Where permitted by law, Aidocall and its service providers may record, monitor, transcribe, analyze, summarize, store, and review communications and interactions for purposes including:
- quality assurance;
- training;
- dispute resolution;
- fraud prevention;
- operational improvement;
- AI model improvement using internal workflows, subject to applicable law and contract restrictions;
- legal compliance;
- service delivery.
You represent and warrant that you have obtained all legally required consents, notices, and authorizations from occupants, employees, contractors, visitors, agents, and other affected persons relating to audio, video, location, environmental, biometric, or other data captured through your use of the Services.
13. Privacy Notice

14. Surveillance, Audio, Video, and Biometric Compliance
Certain Services may involve cameras, microphones, access systems, video verification, audio verification, analytics, face-related image processing, or other sensory technologies. You are solely responsible for determining whether your use is lawful and for providing all required notices, signage, disclosures, policies, and consents.
Aidocall does not provide legal advice regarding surveillance, workplace monitoring, tenancy law, biometric law, wiretap law, or consent requirements. Use of the Services must comply with all applicable federal, provincial, state, municipal, and local laws.
15. Intellectual Property
The Services, including software, interfaces, designs, names, marks, logos, text, graphics, workflows, compilations, models, prompts, outputs formatting, and underlying technology, are owned by Aidocall or its licensors and are protected by intellectual property laws.
Subject to these Terms, Aidocall grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal business or personal use in accordance with your service plan and written agreements.
You may not copy, modify, distribute, sublicense, rent, sell, reverse engineer, decompile, create derivative works from, scrape, or exploit the Services except as expressly permitted in writing.
16. Feedback
If you submit suggestions, ideas, requests, comments, or feedback regarding the Services, you grant Aidocall a perpetual, irrevocable, worldwide, royalty-free right to use, modify, implement, and incorporate such feedback without restriction or compensation.
17. Suspension and Termination
Aidocall may suspend, restrict, or terminate any part of the Services or these Terms, with or without notice where permitted, for reasons including:
- non-payment;
- legal or regulatory risk;
- cybersecurity or fraud risk;
- misuse or abuse;
- false alarm abuse;
- repeated non-responsiveness;
- threats toward personnel or systems;
- technical incompatibility;
- discontinuation of third-party services;
- violation of these Terms;
- operational necessity.
Termination or suspension may result in loss of access to dashboards, data, configurations, logs, automation, alerts, and stored content. Aidocall is not liable for such consequences except as expressly required by law or written agreement.
18. Warranty Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDOCALL DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
AIDOCALL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, COMPATIBLE, AVAILABLE AT ALL TIMES, OR FREE OF HARMFUL CODE, OR THAT ANY DEFECTS WILL BE CORRECTED.
19. Exculpatory Clause and No Insurance
You acknowledge that Aidocall is not an insurer and that the fees paid by you are not insurance premiums. The Services are designed only to assist in reducing certain risks. Aidocall assumes no liability for loss, injury, death, property damage, business interruption, data loss, revenue loss, reputational harm, emotional distress, or other damages arising from or related to burglary, robbery, intrusion, fire, smoke, carbon monoxide, medical event, environmental condition, equipment failure, communication failure, cyber incident, unauthorized access, dispatch delay, or any other event, even if caused in whole or in part by negligence, ordinary fault, system error, or service failure, except to the extent such liability cannot lawfully be excluded.
You agree to look exclusively to your insurer to recover for losses, where insurance is available.
19.1 Customer Insurance and Legal Responsibility
Customer Insurance Requirement
Customer agrees to maintain, at its own expense, adequate insurance coverage, including but not limited to property insurance, liability insurance, and any other coverage appropriate for the Customer's premises, operations, and risks.
Such insurance shall be sufficient to cover any loss, damage, injury, or liability arising from events including but not limited to burglary, intrusion, fire, environmental events, or any other incident occurring at the premises.
Customer acknowledges that Aidocall is not an insurer and that the amounts payable to Aidocall are based solely on the value of the Services provided and not on the value of Customer's property or potential loss.
Waiver and Insurance Priority
Customer agrees to look exclusively to its own insurance coverage for recovery of any loss, damage, or injury, and Customer waives any right of recovery against Aidocall to the extent such loss is covered by insurance.
Customer shall ensure that its insurance policies permit such waiver and do not invalidate coverage as a result of this agreement.
Legal Fees and Claims Responsibility
In addition to all indemnity obligations under this agreement, Customer agrees that if any claim, lawsuit, or legal proceeding is brought against Aidocall arising out of or relating to Customer's premises, system, use of the Services, or any event at the premises, Customer shall be responsible for all costs of defense incurred by Aidocall, including reasonable legal fees, court costs, expert fees, and related expenses, regardless of whether such claim is brought by Customer or any third party.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDOCALL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, ANY ORDER, ANY ALERT, ANY SIGNAL, ANY DISPATCH-RELATED ACTIVITY, ANY AI-ASSISTED ACTIVITY, OR ANY EQUIPMENT OR SOFTWARE INTERACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:
- USD $250, OR
- THE AMOUNT PAID BY CUSTOMER TO AIDOCALL FOR THE AFFECTED SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDOCALL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, EXPECTED SAVINGS, USE, OR OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow certain liability limitations, so portions of this section may apply only to the extent permitted by law.
21. Indemnity
You agree to defend, indemnify, and hold harmless Aidocall, its affiliates, officers, directors, employees, contractors, licensors, suppliers, service providers, dealers, subcontractors, and agents from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your use of the Services;
- your violation of these Terms;
- your violation of law;
- your surveillance, recording, or privacy practices;
- your content, data, configurations, instructions, or user activity;
- injury, death, property loss, data loss, or privacy claims involving your premises, devices, users, or monitoring instructions;
- claims brought by occupants, employees, invitees, contractors, customers, or third parties connected with your use of the Services.
22. Force Majeure
Aidocall is not liable for any failure, delay, degradation, interruption, or inability to perform caused by events beyond its reasonable control, including acts of God, severe weather, flood, fire, pandemic, epidemic, labor dispute, utility failure, internet failure, telecom failure, cellular failure, cloud outage, denial-of-service attack, ransomware, cyber incident, war, terrorism, civil unrest, governmental action, supply chain shortage, embargo, or failure of third-party systems or vendors.
23. Changes to Services or Terms
Aidocall may modify, suspend, replace, or discontinue any feature or portion of the Services at any time. We may also update these Terms from time to time. Updated Terms become effective when posted, unless a later effective date is stated. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
24. Governing Law and Venue
Unless a separate written agreement provides otherwise, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
You agree that any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the courts located in Alberta, and you submit to their jurisdiction.
25. Time Limit to Bring Claims
To the extent permitted by law, any claim or cause of action arising out of or relating to the Services or these Terms must be commenced within one (1) year after the event giving rise to the claim, or such claim is permanently barred.
26. Severability and Waiver
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. A failure by Aidocall to enforce any provision is not a waiver of that provision or any other right.
27. Entire Agreement
These Terms, together with any order form, proposal, monitoring agreement, subscription plan, dealer agreement, privacy-specific notice, and any other written agreement expressly incorporated by reference, constitute the entire agreement between you and Aidocall concerning the Services and supersede prior or contemporaneous understandings relating to the same subject matter.
